What is a sale deed and when is it required?
A sale deed is the legal instrument that transfers ownership of immovable property from the seller (vendor) to the buyer (vendee). It is required for any conveyance of land, residential or commercial property, or built structures. The sale deed must be: (1) executed on appropriately stamped paper as per the state stamp act, (2) signed by both parties before two witnesses, and (3) registered at the sub-registrar's office with jurisdiction over the property location. Without registration, ownership does not legally transfer to the buyer.
What's the difference between an Agreement to Sell and a Sale Deed?
An Agreement to Sell is a contract recording that the seller will sell and the buyer will buy the property on agreed terms, typically with a specified closing date. It does not transfer ownership. A Sale Deed is the conveyance document that actually transfers ownership on execution and registration. The two are sequential: parties typically sign an Agreement to Sell first (to lock in the deal), perform due diligence, arrange financing, and then execute the Sale Deed at closing. The Sale Deed supersedes the Agreement to Sell once executed.
What's the stamp duty and registration fee on a sale deed?
Both vary by state and are typically calculated on the higher of consideration paid or the government-notified circle rate for the property. Indicative ranges: stamp duty 4% to 8% of property value, registration fee 1% to 2%. Some states offer reduced rates for women buyers (e.g., Delhi at 4% for women vs 6% for men). The duties must be paid before registration. What documents do I need at the time of registration?
Typically required: (1) signed sale deed on appropriately stamped paper, (2) identity and address proof of all parties (Aadhaar, PAN, passport), (3) two passport-size photographs of each party, (4) two witnesses with identity proof, (5) property documents including parent title deed, encumbrance certificate, latest property tax receipts, and (6) PAN-based Form 60 if applicable. Can a sale deed be cancelled after registration?
A registered sale deed is presumed valid and difficult to cancel. Grounds for cancellation include: fraud, misrepresentation, coercion, undue influence, or material defect in title that was concealed. Cancellation requires a civil suit, can take years, and the registered owner retains possession until a court orders otherwise. The buyer should therefore conduct thorough due diligence (title search, encumbrance certificate, litigation search, property tax verification) before registration, not after.
